1. Scope of Application
These Terms and Conditions apply to all services provided by Emporiant e.U. (Owner: Anto Markunovic, Wielandgasse, 8010 Graz), in particular Growth Operating System (GOS) packages, SIGNAL Engine, as well as individual projects (design, content, video, ads management). Deviating conditions requested by the customer apply only with express written consent.
2. Conclusion of Contract
Offers are non-binding. The contract is concluded through written order confirmation (email is sufficient) or through payment of the first invoice.
3. Scope of Services
The exact scope of services results from the respective offer or the selected package tier. Services outside the agreed scope will be billed separately.
4. Prices and Payment Terms
All prices are in Euro. Pursuant to the small business regulation (§ 6 para. 1 no. 27 UStG), no VAT is shown. Invoicing is done in advance (prepayment) at the start of the respective service period. Payment term: 7 days from the invoice date, unless otherwise agreed.
5. Contract Term and Termination
Depending on the chosen package, minimum terms apply (e.g., 60 or 90 days). After the minimum term expires, the contract automatically renews for the respective billing period, unless terminated in writing with 14 days’ notice before the end of the term.
6. Customer’s Duties to Cooperate
The customer shall provide required content, access, and approvals in a timely manner. Delays caused by lack of cooperation will shift agreed delivery dates accordingly.
7. Copyright and Usage Rights
All works created in the course of service delivery (design, content, code) remain the property of Emporiant e.U. until full payment has been made. Upon full payment, the customer receives a simple, non-transferable right of use for the agreed purpose.
8. Warranty and Liability
Emporiant e.U. is liable for intent and gross negligence. Liability for lost profits or indirect damages is excluded to the extent permitted by law. No guarantee is given for the success of marketing measures (e.g., advertising campaigns) unless expressly guaranteed by contract.
9. Confidentiality
Both parties commit to keeping confidential information of the other party secret.
10. Changes to the Terms and Conditions
Emporiant e.U. reserves the right to amend these Terms and Conditions with effect for the future. Existing customers will be informed of material changes.
11. Final Provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Jurisdiction lies with the competent court in Graz.
