1. Geltungsbereich
Diese AGB gelten für alle Dienstleistungen, Produkte, digitalen Plattformen und Vertragsverhältnisse von Emporiant e.U. Dies umfasst insbesondere Video- und Fotoproduktion, monatliche Content-Produktion, den Online-Shop, digitale Downloads, das Kundenportal (hq.emporiant.com) sowie das Werbe- und Managementsystem (net.emporiant.com).
Durch Nutzung der Dienste akzeptiert der Kunde diese AGB vollständig.
2. Dienstleistungen
Emporiant e.U. bietet unter anderem:
- Videoproduktion und Schnitt
- Fotografie
- Filmproduktion
- Monatliche Content-Pakete
- Digitale Produkte
- Werbe- und Performance-Dienstleistungen
- Plattformbasierte Projektverwaltung
- Online-Shop-Leistungen
Emporiant kann Dienstleistungen jederzeit erweitern, anpassen oder einstellen.
3. Vertragsabschluss
Ein Vertrag kommt zustande, wenn:
- der Kunde eine Bestellung oder Anfrage tätigt, und
- Emporiant e.U. diese schriftlich bestätigt.
Kostenvoranschläge sind unverbindlich, sofern nicht ausdrücklich als fix ausgewiesen.
4. Zahlungsbedingungen
Zahlungsstruktur:
- 100 % Vorauszahlung bei kleineren Dienstleistungen und digitalen Produkten
- 30–50 % Anzahlung bei größeren Produktionen
- Restbetrag bei Lieferung der finalen Dateien
Zahlungsarten: PayPal, Stripe, Klarna, Online-Banking, Offline-Überweisung.
Bei Zahlungsverzug kann die Arbeit pausiert und der Zugang zu Plattformen eingeschränkt werden.
5. Rückerstattungen
Rückerstattungen sind nur möglich, wenn noch keine Arbeit begonnen hat.
Sobald Planung, Vorproduktion, Dreh oder Schnitt gestartet wurde, ist keine Rückerstattung möglich.
Digitale Produkte sind nach Download vom Widerruf ausgeschlossen.
6. Pflichten des Kunden
Der Kunde verpflichtet sich:
- alle notwendigen Materialien rechtzeitig bereitzustellen
- sicherzustellen, dass er die Rechte am Material besitzt
- zeitgerecht Rückmeldungen und Freigaben zu erteilen
- keine illegalen oder schädlichen Inhalte hochzuladen
Verzögerungen durch den Kunden berechtigen nicht zum Rücktritt oder zur Rückerstattung.
7. Nutzungsrechte & Urheberrecht
7.1 Nutzungsrechte
Der Kunde erhält unbegrenzte, zeitlich unbeschränkte Nutzungsrechte an den finalen gelieferten Medien.
7.2 Eigentum
Emporiant e.U. behält das vollständige Urheberrecht an Rohmaterial, Projektdateien und Quellmaterialien.
Rohdaten werden nur gegen zusätzliche Vereinbarung und Gebühr herausgegeben.
8. Korrekturschleifen
Sofern nicht anders vereinbart:
- Zwei Korrekturrunden sind inbegriffen.
- Weitere Änderungen werden separat berechnet.
9. Lieferung
Die Lieferung erfolgt über:
- Kundenportal (hq.emporiant.com)
- Cloud Drive (verschlüsselt)
- WeTransfer
- Physisches Speichermedium (falls vereinbart)
Emporiant haftet nicht für Verzögerungen externer Dienste.
10. Nutzung der Systeme
Bei Nutzung der Plattformen stimmen Kunden zu:
- Systeme nicht zu missbrauchen
- Zugangsdaten vertraulich zu behandeln
- Wartungsbedingte Ausfälle zu akzeptieren
Es besteht keine garantierte Systemverfügbarkeit.
11. Haftungsbeschränkung
Emporiant e.U. haftet nicht für:
- technische Ausfälle, Systemdowntime oder externe Fehlfunktionen
- Schäden durch kundenseitig bereitgestelltes Material
- indirekte oder Folgeschäden
- Datenverluste aufgrund von Fehlbedienung oder externen Angriffen
Die Haftung richtet sich nach den gesetzlichen Mindeststandards.
12. Vertraulichkeit
Alle vertraulichen Kundendaten, Dokumente und Materialien werden streng vertraulich behandelt und nicht ohne Zustimmung weitergegeben, außer gesetzlich erforderlich.
13. Datenschutz
Die Datenverarbeitung erfolgt gemäß DSGVO und DSG.
Details sind in der Datenschutzerklärung geregelt.
14. Widerrufsrecht (nur Verbraucher)
Für Verbraucher gemäß EU-Richtlinie:
- Physische Waren: 14 Tage Widerrufsrecht
- Digitale Downloads: kein Widerruf nach Download
- Dienstleistungen: Widerruf erlischt, sobald die Arbeit begonnen hat
Unternehmen (B2B) haben kein Widerrufsrecht.
15. Gerichtsstand & Recht
Es gilt ausschließlich österreichisches Recht.
Gerichtsstand: Graz, Österreich.
16. Änderungen der AGB
Emporiant e.U. kann diese AGB jederzeit aktualisieren.
Es gilt die Version, die zum Zeitpunkt des Vertragsabschlusses gültig war.

1. Scope of Application
These General Terms and Conditions (“AGB”) apply to all services, products, online platforms, digital systems, and contractual relationships provided by Emporiant e.U., including but not limited to video production, photography, content creation, consulting, online shop transactions, digital downloads, the Client Portal (hq.emporiant.com), and the advertising platform (net.emporiant.com).
By using our services or accessing our platforms, the client accepts these AGB in full.
2. Services Provided
Emporiant e.U. provides:
- Video production and editing
- Photography services
- Film production
- Monthly content creation
- Digital products (templates, guides, downloads)
- Advertising and performance services
- Platform-based client project management
- Online shop (physical/digital goods)
Emporiant reserves the right to add, modify, or discontinue services at any time.
3. Ordering and Contract Formation
A contract is formed when:
- The client submits a booking, order, or request, and
- Emporiant e.U. confirms acceptance in writing (email or digital confirmation).
Estimates and proposals are non-binding unless explicitly marked as fixed.
4. Payment Terms
Payment structure:
- 100% upfront for small services, online shop orders, and digital products.
- 30–50% upfront for larger productions, depending on project scale.
- Remaining balance is due upon delivery of the final project files.
Payments accepted:
PayPal, Stripe, Klarna, online banking, offline bank transfers.
In case of delayed payment, Emporiant reserves the right to pause ongoing work and restrict access to client platforms or deliverables.
Refunds are only possible if no work has begun at the time the written refund request is received.
5. Refund Policy
Once any part of the work has started—planning, pre-production, shooting, editing, or system setup—no refund is possible.
Digital products are not refundable after download.
6. Client Responsibilities
The client agrees to:
- Provide all required materials (scripts, logos, texts, images) in time.
- Ensure they have rights to any material provided.
- Participate in approvals and communication within reasonable timeframes.
- Not upload illegal or harmful content to the client platform.
Delays caused by the client are not grounds for cancellation or refunds.
7. Usage Rights & Licensing
Unless explicitly stated otherwise:
7.1 Usage Rights
The client receives unlimited, perpetual usage rights to all final delivered media files for commercial and non-commercial use.
7.2 Ownership
Emporiant e.U. retains full ownership and copyright of all raw files, project files, footage, and source materials.
Raw files or original project files will only be provided upon a separate agreement and fee.
8. Project Revisions
Unless defined differently by the selected package:
- Two revision rounds are included.
- Additional revisions may incur additional fees.
9. Delivery
Final files are delivered through one or more of the following:
- Client Portal (hq.emporiant.com)
- Cloud Drive (encrypted)
- WeTransfer
- Physical drive (if agreed)
Emporiant is not responsible for delays caused by third-party transfer services.
10. System Use (Platforms & Software)
Clients using Emporiant systems (hq.emporiant.com, net.emporiant.com, app., shop., blkc.) agree to:
- Not misuse the system or attempt unauthorized access
- Maintain confidentiality of login credentials
- Understand that system availability may vary due to maintenance
Emporiant strives for high uptime but offers no guaranteed service availability.
11. Limitation of Liability
Emporiant e.U. is not liable for:
- Losses caused by system downtime, technical issues, or third-party failures
- Damages resulting from client-provided content
- Indirect, incidental, or consequential damages
- Loss of data due to client misuse or external attacks
Liability is limited to cases of gross negligence or intent as required by Austrian law.
12. Confidentiality
All private business information, documents, contracts, and sensitive files uploaded by clients are treated as confidential.
Emporiant will not disclose such information to third parties unless legally required or explicitly approved by the client.
13. Data Protection
Emporiant complies with GDPR and Austrian DSG regulations.
The processing of personal data is described in detail in our Privacy Policy.
14. Withdrawal Right (Consumers Only)
For consumers (B2C) using the online shop:
- Physical goods: 14-day withdrawal right according to EU law
- Digital downloads: withdrawal expires once the download begins
- Services: withdrawal expires once work has begun at client’s request
Business customers (B2B) are excluded from withdrawal rights.
15. Jurisdiction & Applicable Law
These AGB are governed exclusively by Austrian law.
Place of jurisdiction: Graz, Austria.
16. Changes to These AGB
Emporiant e.U. may update these AGB at any time.
The version published on the website at the time of contract formation applies.
